Terms and Conditions
Confidentiality
In performing the work described in this proposal, MidiaHouse.Com (including employees and subcontractors as required) may receive information about the client’s customers and business strategies and processes. In addition, the client may receive information about MidiaHouse.Com’s methodologies, pricing and techniques. Both parties agree to 1) identify such information as confidential to the other party prior to or at the time of disclosure, and, 2) treat such information as confidential and to use good faith efforts to keep confidential information provided by the other party on a confidential basis except as otherwise required by law.
The service methodology, description and pricing provided by MidiaHouse.com in this proposal is considered as confidential information.
The fact that MidiaHouse.Com and the client have a business relationship is not confidential and both parties agree that communication of that relationship is specifically permitted under the terms of this agreement. Communication can include, but is not restricted to press release listing on web site, and inclusion in promotional materials of the client or MidiaHouse.Com.
Furnished Materials
The client agrees that any information or material provided to MidiaHouse.Com shall be truthful and shall not be misleading or unlawful nor will it wrongfully divulge or infringe on the patent, trademark, copyright, trade secret or other rights of third parties.
The client further agrees to indemnify and hold harmless MidiaHouse.Com. and/or its agents and contractors for and from any and all losses, damages, punitive damages, fines, penalties, costs and expenses, including reasonable attorney fees incurred by MidiaHouse.Com and/or its agents and employees which arise out of the furnishing by the client, or by the client’s agents and/or employees, of any information or material. The foregoing obligation shall survive any termination of this agreement.
Expenses
Any expenses incurred by MidiaHouse.Com that are outside the services that MidiaHouse.Com will provide will be itemized separately on invoices issued by MidiaHouse.Com. MidiaHouse.Com does not expense clients for day-to-day costs of business, such as telephone, postage, etc. This clause refers to extraordinary expenses such as long-distance travel requested by the client, advertising placed on behalf of the client, third party services etc. which must always be pre-approved by the client. Terms - Prices are valid for 15 days from date of this proposal. Prices for ongoing work are valid for the time-frame of the scope of work.
- Payments are due upon receipt of invoice.
- Intellectual Property: Any intellectual property developed specifically for the client remains the property and copyright of MidiaHouse.com until transfer to client upon payment in full of related invoice.
- Initial payment is due upon contract execution and project commencement.
- Subsequent monthly payments are due at the beginning of each 1-month period.
- Subsequent yearly payments are due at the beginning of each 1-year period.
- Third-party charges such as advertising charges, if paid by MidiaHouse.Com are due in advance.
- Any invoice unpaid after thirty (30) days will incur a 1¼% per month service charge and may result in the suspension of services until payment is received. If there is a dispute, MidiaHouse.Com must be notified within twenty (20) days of the date of the invoice in writing. Objections not received within this time period are waived.
- Ongoing services provided for in this agreement may be terminated by either party provided that a minimum of 30-days written notice is provided to the other party.
- This agreement can be terminated and a full refund provided for three days after the agreement is signed. There will be no refund for services rendered or under contract after three days.
- For those hosting with MidiaHouse.Com under the annual hosting arrangement, if the annual hosting fee is not paid within 30 days of the due date, a 10,000.00 naira fee will be added, after the first 30 days a ₦20,000.00 fee will accrue every month thereafter.
- Inactivity: After this agreement is executed and a deposit is received, if at any time there is no progress developing the web site for six months, the deposit becomes non-refundable.
- After Inactivity: There is a ₦50,000.00 fee to reinstate a project after 2 or more months of inactivity.
- A credit hyper-link to MidiaHouse.Com will be placed in a small font at the bottom of your website.
General Agreement
Neither the client nor MidiaHouse.Com shall be liable for delay or failure to perform any of its obligations under this agreement due to causes beyond its reasonable control.
Acceptance
Initial Payment and/or an email accepting the terms of this proposal signify a commitment to purchase services as described in our proposal subject to the terms above.
